The Challenge

Our client, a F500 Life Sciences company, acquired a Pharmaceutical Company to bolster its product portfolio and expand its Pharmaceutical offering.
Integrating the acquisition required reviewing and disposing of ~3,600 supplier agreements and evaluating ~600 new suppliers for onboarding into the Client environment.

What We Did

  • RGP engaged a team of contract specialists to work with business partners to determine which supplier relationships could be terminated and which needed to be migrated to the Client’s environment
  • We partnered with Legal to develop contract templates for terminations/non-renewals and contract amendments
  • We reviewed supplier agreements, determining actions to be taken and executed accordingly, including sending notices of termination/non-renewals and negotiating contract changes
  • We partnered with Procurement and AP to develop supplier communications and support Supplier Risk Assessments, Supplier On-Boarding

Our Impact

  • We reviewed and dispositioned ~3,600 supplier agreements and loaded all active agreements into the client’s Contract Management System
  • We negotiated and transferred supplier agreements to capture synergies and move suppliers to the client’s standard terms and conditions
  • We developed a Supplier Integration playbook and associated training that has become the standard for future Acquisitions
